Breaking news: filing extension announced for BVI Business Companies and Limited Partnerships – deadline now 1 January 2026

The BVI Registrar of Corporate Affairs has announced a six-month extension to the current filing period. BVI Business Companies and Limited Partnerships now have until 1 January 2026 (previously 1 July 2025) to comply with the requirements to file its Register of Members, and Beneficial Ownership information.
Here’s what you need to know:
- BVI Foreign Regulated Trustees: We’re expecting confirmation of proposed changes that would make foreign regulated trustees treated in the same way as with BVI-regulated trustees. If implemented, this would mean that foreign regulated trustees would file their regulatory details at the Registry instead of settlor, protector, and beneficial owner information.
- BVI Beneficial Ownership: We’re still waiting on further details from the public consultation about access to beneficial ownership information. We’ll share updates as soon as they’re available.
The official update from the FSC can be found here.
Update (24/06/2025): The FSC has announced that it will begin enforcing the Financial Annual Return (FAR) regime from 1 July 2025. Any entity that has not yet filed its first FAR, particularly those with a financial year end of 31 December 2023, should do so as a matter of urgency to avoid regulatory action.
